1. Welcome and Agreement to These Terms
Welcome to The Loft 419, a shared workspace and community for people to connect, work, learn, and build.
These Terms of Service ("Terms") govern the use of The Loft 419's website, membership services, coworking areas, meeting rooms, classrooms, event spaces, equipment, and related facilities and services (collectively, the "Services").
By purchasing a membership or day pass, reserving a room, registering for an account, or accessing the facilities, you agree to comply with these Terms and any applicable posted rules or separate agreements.
These Terms apply to members, day-pass users, room renters, event organizers, and guests, as appropriate. If you are purchasing on behalf of an organization, you represent that you are authorized to do so.
Our goal is to maintain a welcoming, professional, accessible, and respectful environment for everyone who uses The Loft.
2. Membership Plans and Benefits
The Loft 419 offers multiple membership options with different pricing, access privileges, amenities, and benefits.
Your membership includes only the services and privileges expressly associated with the plan you purchase, as described at the time of enrollment or in your written membership agreement.
Membership benefits may include access to shared workspace, meeting spaces, events, or other amenities, depending on the selected plan.
Memberships do not automatically include private office space, unlimited meeting room use, paid classes, training programs, or services provided by independent organizations unless explicitly stated.
Memberships are personal to the individual or organization identified in the purchase and may not be transferred, shared, or resold without written authorization.
Private offices, dedicated spaces, corporate arrangements, and certain other services may require separate written agreements. If a separate signed agreement conflicts with these Terms, that agreement controls for the subject it specifically addresses.
3. Monthly Billing and Automatic Renewal
Monthly memberships automatically renew each month until canceled.
By purchasing a recurring membership, you authorize The Loft 419 and its designated payment processor to charge your selected payment method for the membership price, applicable taxes, and any separately authorized charges on each renewal date.
The billing period and next payment date will be identified during enrollment or in your member account.
You are responsible for maintaining accurate account and payment information.
If a payment is declined or remains unpaid, The Loft may notify you, attempt to collect the outstanding balance through its payment processor, and suspend membership privileges until the account is brought current.
Any changes to recurring membership pricing will be communicated in advance and will take effect no earlier than a future billing period, subject to applicable law.
4. Membership Cancellation and Refunds
You may cancel your monthly membership at any time. Cancellation takes effect at the end of your current paid billing period.
To cancel, submit your request through an available cancellation feature in CoWorks or by emailing [email protected].
Cancellation stops future renewals once properly received and processed. You will continue to have access to the benefits of your membership through the end of the paid billing period, unless access is restricted for a violation of these Terms or another lawful reason.
Membership fees are not prorated or refunded after a billing period has begun, except where required by applicable law.
Failure to use the workspace does not automatically entitle a member to a refund or billing credit.
Canceling a membership does not cancel an outstanding room reservation, private office agreement, or other separately purchased service unless that service's terms provide otherwise.
The Loft will provide confirmation of membership cancellation using the contact information associated with your account.
5. Day Passes and Temporary Access
Day passes provide temporary access to the areas and amenities identified at the time of purchase.
A day pass does not create an ongoing membership or provide access outside the applicable day-pass hours.
Day-pass users must follow these Terms, posted facility rules, and staff instructions.
Unused day passes, date changes, and refunds are subject to the conditions disclosed at purchase and applicable law.
6. Meeting Room, Classroom, and Space Reservations
Meeting rooms, classrooms, and other reservable spaces must be booked through an authorized reservation process.
Reservations are subject to availability, stated capacity limits, applicable rates, and any special conditions disclosed when booking.
The reservation period includes setup, use of the space, and cleanup. Renters must vacate the space by the scheduled end time unless an extension has been approved.
Reservations do not grant exclusive access to shared building areas unless expressly stated.
Room reservation cancellation policy:
- Cancellations submitted at least 48 hours before the scheduled reservation start time are eligible for a full refund of the room rental charge.
- Cancellations submitted less than 48 hours before the reservation start time are subject to the short-notice cancellation policy disclosed at checkout or in the applicable booking confirmation.
Requests to reschedule are subject to availability and approval.
Any separately purchased services, third-party costs, or special event arrangements may have additional cancellation provisions when disclosed in advance.
If The Loft must cancel a confirmed reservation and cannot provide an acceptable alternative, the customer will receive a refund for the affected reservation.
Renters are responsible for leaving reserved spaces reasonably clean and in their original condition. Additional charges may apply for documented damage, extraordinary cleaning, unapproved overtime, or other authorized expenses, with an itemized explanation.
7. Facility Access and Security
Facility access depends on the membership, reservation, or day-pass privileges purchased.
Some plans may provide access outside staffed business hours. Such access is available only to individuals expressly authorized for those hours.
Access credentials, keys, codes, and other security tools are assigned for authorized use and may not be shared with others.
Members and renters agree to:
- Secure doors and access points as directed.
- Avoid admitting unauthorized individuals.
- Promptly report lost credentials, suspicious activity, damage, or safety concerns.
- Follow building security and emergency procedures.
- Respect areas designated as private, staff-only, or otherwise restricted.
Access privileges may be temporarily modified for maintenance, safety, emergencies, building operations, or other reasonable operational needs.
8. Guests and Visitors
Members may bring guests into The Loft 419, provided the member remains present and is responsible for the guest's conduct.
Guests must comply with these Terms and applicable facility rules.
Members may not use guest privileges to provide regular, independent workspace access to individuals who would otherwise need their own membership or day pass.
Guests may not use a member's credentials or independently access the building under that member's account.
The Loft may require guest registration, limit guest access based on space availability or safety considerations, and ask guests to leave if they violate applicable rules.
For organized events, the event organizer is responsible for ensuring that attendees understand and comply with applicable facility requirements.
9. Community Standards and Professional Conduct
The Loft 419 is committed to maintaining a respectful, inclusive, and productive environment.
All users are expected to act professionally and consider the needs of others sharing the space.
The following behavior is prohibited:
- Harassment, discrimination, threats, intimidation, or abusive conduct.
- Violence or behavior that creates a credible safety risk.
- Theft, vandalism, or intentional property damage.
- Unlawful activities or use of the premises for unlawful purposes.
- Repeatedly disruptive noise or interference with other users.
- Unauthorized access to restricted spaces, systems, or personal property.
- Conduct that violates applicable laws, building policies, or reasonable staff instructions.
Disagreements and concerns should be addressed respectfully. Members and guests are encouraged to report problems promptly.
The Loft may investigate reported concerns and take proportionate action, including warnings, temporary access restrictions, or termination of services where appropriate.
10. Shared Spaces and Facility Etiquette
Shared workspaces, lounges, kitchens, restrooms, and other common areas are intended for the benefit of authorized users.
Please clean up after yourself, respect other people's belongings, and return shared spaces to a usable condition.
Phone calls, meetings, and conversations should be conducted at reasonable volumes. Private rooms should be reserved when activities require more space, privacy, or sustained noise.
Users may not permanently occupy shared workstations, store belongings in common areas, or alter furniture layouts in ways that interfere with others without authorization.
Food and beverages are permitted in designated areas, subject to posted rules. Users are responsible for spills, excessive messes, and damage they cause.
11. Technology, Internet, and Equipment
The Loft may provide wireless internet, printing, displays, meeting technology, or other equipment as available.
These services are intended for lawful and appropriate use. Users may not interfere with network operations, attempt unauthorized access to systems, or engage in activity that compromises cybersecurity or others' privacy.
Users are responsible for protecting their own devices, information, and accounts when using shared networks or equipment.
Availability, speed, compatibility, and uninterrupted operation of technology services are not guaranteed.
Additional charges may apply for printing, equipment, or services that are not included in a user's membership or booking.
12. Events, Programming, and Independent Providers
The Loft 419 hosts and supports community events, educational programming, workshops, and other activities.
Some programs are organized by The Loft, while others are provided independently by Ross Collaborative, LLC, community partners, instructors, or other organizations.
Purchasing a Loft membership does not automatically include admission to paid programs or services provided by another organization.
Program registration, payment, refunds, eligibility, instruction, and participant requirements may be governed by separate terms established by the program provider.
Unless specifically identified as a co-provider, The Loft's role in hosting an activity does not make it responsible for the content, professional advice, credentials, or outcomes of independently provided programming.
Event organizers must obtain required approvals for their activities and are responsible for their attendees, setup, cleanup, and compliance with applicable laws and facility requirements.
13. Business Activities and Use of The Loft's Identity
Members and renters may conduct lawful business activities consistent with the intended use of the facility.
Use of The Loft's name, logo, photographs, or brand identity in promotional materials requires authorization when the materials imply sponsorship, endorsement, or an official partnership.
Membership or use of the facility does not establish an employment, agency, franchise, partnership, or joint venture relationship with The Loft.
Users may not represent The Loft as their registered business address, mailing address, or principal office unless that use is expressly permitted under their plan or a separate agreement.
14. Personal Property, Damage, and Responsibility
Users are responsible for securing their personal belongings, devices, documents, and business materials.
To the extent permitted by applicable law, The Loft is not responsible for loss of or damage to personal property resulting from theft, accidental damage, or other circumstances outside its reasonable control.
Users are responsible for damage they or their guests cause through negligence, misuse, or violation of these Terms, excluding ordinary wear and tear.
The Loft may seek reimbursement for reasonably documented repair, replacement, or extraordinary cleaning costs attributable to the responsible user.
Nothing in these Terms limits liability that cannot lawfully be excluded or restricted, including liability for conduct for which applicable law does not permit a limitation.
15. Safety, Emergencies, and Accessibility
All users must comply with applicable fire, health, safety, and occupancy requirements.
Exits, hallways, and emergency access routes must remain clear. Users may not bring hazardous materials or conduct activities that create unreasonable safety risks without express authorization and appropriate safeguards.
In an emergency, follow posted evacuation procedures and instructions from emergency personnel.
The Loft is committed to providing access to its services consistent with applicable disability access and nondiscrimination laws. Questions about accessibility or requests for reasonable accommodations may be directed to [email protected].
16. Photography, Recording, and Privacy
Photographs or video may be taken during public or community events to document activities and promote The Loft.
When practical, The Loft will provide notice that an event may be photographed or recorded and will respect reasonable requests not to be individually featured in promotional materials.
Attendance at an event does not, by itself, constitute unlimited permission to use a person's name or likeness for advertising.
Users may not photograph, record, or disclose another person's private conversations, documents, screens, or confidential business information without appropriate permission.
Information collected through the website, CoWorks, or other service providers will be addressed in The Loft's separate Privacy Policy.
17. Account Information and Communications
Users agree to provide accurate information when creating accounts, purchasing services, or making reservations.
The Loft may communicate with members and customers by email, through CoWorks, or using other contact methods provided by the user regarding billing, reservations, security, service updates, policy changes, and other operational matters.
Marketing communications will be handled in accordance with applicable law and the user's communication preferences.
Users are responsible for maintaining accurate contact information so they can receive important service notices.
18. Suspension and Termination of Services
The Loft may suspend or terminate access when a user:
- Fails to pay outstanding charges.
- Violates these Terms or another applicable agreement.
- Engages in unsafe, unlawful, threatening, or seriously disruptive conduct.
- Shares access credentials or repeatedly permits unauthorized access.
- Causes significant damage or misuses facilities or equipment.
Where reasonably appropriate, The Loft may provide notice and an opportunity to resolve a problem before termination.
Immediate restrictions may be imposed when reasonably necessary to protect people, property, security, or operations.
Any refund owed following suspension or termination will be determined in accordance with the circumstances, these Terms, and applicable law. Termination does not eliminate responsibility for valid outstanding charges or documented damage.
19. Service Availability and Changes
The Loft may periodically adjust hours, room configurations, amenities, technology, programming, and other operational features.
Reasonable efforts will be made to communicate material changes affecting paid services.
If The Loft permanently discontinues a prepaid service before its paid term ends and does not provide a substantially equivalent alternative, it will provide an appropriate refund for the unavailable portion, as required by applicable law.
The Loft may update these Terms from time to time. Material changes will be communicated in advance and will generally apply prospectively. Continued use after an effective change may constitute acceptance where legally permitted, but any change requiring affirmative consent will be presented for that consent.
20. Disclaimers and Limits of Liability
The Loft provides coworking facilities and related services but does not guarantee any particular business outcome, uninterrupted internet access, specific commercial opportunity, or result from community participation.
To the extent permitted by applicable law, The Loft will not be liable for indirect, incidental, or consequential business losses arising from ordinary service interruptions or inability to use optional amenities.
Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful.
Users retain all nonwaivable rights and remedies available under applicable law.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except where other laws must apply.
If a dispute arises, the parties are encouraged to first attempt to resolve it through direct communication in good faith.
Any legal action relating to these Terms shall be brought in a court of competent jurisdiction in Lucas County, Ohio, to the extent permitted by applicable law.
Nothing in these Terms prevents a person from exercising rights or remedies that cannot lawfully be waived.
22. General Provisions
If any provision of these Terms is determined to be unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
A delay or failure by The Loft to enforce a provision does not permanently waive its right to enforce that provision.
These Terms, together with applicable membership or reservation details and any separately executed agreement, establish the terms governing the purchased services.
